2038 is when the number of seconds since the start of time (Jan 1, 1970) 
overflows a 32 bit counter. Many systems using a time_t that is 32 bits
will fail at that time. Most Unix's are gradually switching to 64 bit systems
and changing time_t to be 64 bits at that time.
